I am in the process of raising money to start a small manufacturing business here in the US. My plan is being finalized and I have a Non Disclosure agreement drawn up for my potential investors. I wish to post the NDA online on a secured and restricted website. From there the investor would be able to Acknowledge their agreement by clicking a box which would take them to an area where they can view the business plan. Electronic authorization goes on all the time, and I would think there is enough precedence out there that this is acceptable. What kind of back end coding of the site will we need to make this authorization binding? (i.e. name, timestamp, etc?)

LLC Tax Liability in California

when creating a LLC in California, for any given year the corporation doesnt perform any business, is it still subject to the tax liability of the 800.00 annually?

i currently own/owned a C corporation in california at which annually we have to pay a 800 tax. unfornutaley we were in the housing market and our company was no longer able to sustain itself. to make a long story short we have lost a lot and have since then gone out of business. it has been a couple of years and our corporation hasnt been dissolved, officially, through the secretary of state. I was wondering if this could make "me" ,being the president of the company, financially responsible for the tax liability?

Lawyers on the forums?

Are there any lawyers on the forums? Particularly working in California or Illinois? Anywhere else would be okay, but I would prefer either someone in IL that I could meet in person with or someone in California since I am concerned about some paperwork received from a potential client in CA.

Non disclosure agreements (NDA)

I recently launched a new web business http://www.bidfromtheheart.com/. I am using the site to test several underlying business principals and plan to launch a larger brand and business concept in the next few months. As I began to seek suppliers to build the company's infrastructure out I am looking for a good source for a NDA. I am trying to avoid legal fees if possible and fundamentally believe that such documents don't really need that much customization. Is this presumption wrong? Where can I find a good off the shelf NDA?
